1. Acceptance of Terms

By accessing or using ShadeFile (“the Service”), operated by ShadeFile (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ShadeFile is a cloud-based formula management platform for hair colorists and salons. The Service allows users to store client information, color formulas, photos, patch test records, product inventory, and related data.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service.

4. Subscription & Billing

• Free accounts are limited to 10 clients and do not include photo storage.
• Paid subscriptions are billed monthly or annually as selected at checkout.
• All paid plans include a 14-day free trial. You will not be charged until the trial ends.
• You may cancel your subscription at any time through the billing portal. Access continues until the end of the current billing period.
• Refunds are not provided for partial billing periods.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.

5. Your Data

• You retain ownership of all data you enter into ShadeFile (client records, formulas, photos, notes).
• We do not sell, share, or use your data for advertising purposes.
• You may export your data at any time via the CSV export feature.
• Upon account deletion, your data will be permanently removed within 30 days.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious content or attempt to compromise the Service
• Share account credentials with unauthorized parties
• Resell or redistribute the Service without written permission
• Exceed reasonable usage limits that degrade service for other users

7. Client Data & Consent

You are responsible for obtaining appropriate consent from your clients before storing their personal information (including photos, contact details, and health-related data such as allergies) in ShadeFile. We act as a data processor on your behalf.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice. We are not liable for data loss due to circumstances beyond our control, though we maintain regular backups.

9. Limitation of Liability

ShadeFile is provided “as is” without warranties of any kind. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.
